EchoMP Partner Program Terms

1. Overview
The EchoMP Partner Program (“Program”) allows eligible participants (“Partners”) to refer new customers to EchoMP and receive commissions or other rewards as determined by EchoMP.
Participation in the Program is voluntary and subject to these Terms, the EchoMP Terms of Service, and any additional requirements established by EchoMP.
2. Eligibility
To participate in the Program, a Partner must:
- maintain a valid EchoMP account;
- comply with all EchoMP policies;
- provide any information reasonably requested by EchoMP;
- maintain any required payout accounts.
EchoMP may approve, deny, suspend, or terminate participation at its sole discretion.
3. Referral Tracking
EchoMP may provide referral links, referral codes, tracking mechanisms, promotional materials, or similar tools.
A referral will be considered valid only if EchoMP’s systems determine that the referral meets all applicable program requirements.
EchoMP’s tracking records shall control for purposes of determining eligibility and commissions.
4. Referral Benefits
EchoMP may offer:
- referral commissions;
- customer discounts;
- promotional credits;
- rewards;
- bonuses;
- other incentives.
Program benefits may vary by user, region, promotion, campaign, or program version.
EchoMP may modify, suspend, replace, or discontinue any referral benefit at any time.
5. Commissions and Payouts
Eligible commissions may be paid through approved payment providers designated by EchoMP.
EchoMP may establish:
- minimum payout thresholds;
- payout schedules;
- payout methods;
- verification requirements;
- payout eligibility requirements.
Commissions shall not be earned until EchoMP determines that all applicable conditions have been satisfied.
6. Payment Providers
EchoMP may utilize third-party payment providers to process Partner payouts.
Partners may be required to maintain valid accounts with such providers.
EchoMP is not responsible for delays, interruptions, verification requirements, restrictions, fees, tax reporting obligations, or actions of third-party payment providers.
7. Taxes
Partners are solely responsible for:
- income reporting;
- tax filings;
- tax payments;
- registrations;
- permits;
- governmental reporting obligations;
- regulatory compliance obligations.
EchoMP does not provide tax advice.
Partners should consult their own professional advisors regarding tax obligations.
8. Prohibited Conduct
Partners may not:
- engage in spam;
- create fake referrals;
- create duplicate accounts;
- engage in deceptive advertising;
- misrepresent EchoMP;
- make false claims;
- engage in fraud;
- manipulate referral tracking systems;
- violate applicable laws;
- violate EchoMP policies.
Partners may not represent themselves as employees, agents, representatives, or authorized spokespersons of EchoMP unless expressly authorized in writing.
9. Commission Reversals and Adjustments
EchoMP may withhold, reverse, reduce, offset, adjust, suspend, or cancel commissions where EchoMP reasonably believes:
- fraud occurred;
- abuse occurred;
- policy violations occurred;
- chargebacks occurred;
- refunds occurred;
- duplicate referrals occurred;
- tracking errors occurred;
- legal concerns exist;
- compliance concerns exist.
EchoMP’s determination regarding commissions shall be final.
10. No Guarantee
EchoMP makes no guarantee regarding:
- referrals;
- commissions;
- earnings;
- customer activity;
- conversion rates;
- traffic;
- engagement;
- future payouts.
Participation in the Program does not guarantee income.
11. Suspension and Termination
EchoMP may suspend or terminate a Partner’s participation in the Program at any time.
Upon termination, EchoMP may cancel unpaid commissions where permitted by applicable law and these Terms.
Termination of Program participation does not automatically terminate an EchoMP account unless otherwise specified.
12. Changes to the Program
EchoMP may modify the Program at any time, including:
- commission structures;
- referral requirements;
- payout thresholds;
- payout schedules;
- eligibility requirements;
- rewards;
- incentives;
- program features.
Continued participation following such changes constitutes acceptance of the updated Program terms.
13. Limitation of Liability
To the maximum extent permitted by law, EchoMP shall not be liable for:
- lost commissions;
- lost profits;
- lost opportunities;
- referral tracking errors;
- payment provider delays;
- indirect damages;
- consequential damages;
- incidental damages.
14. Governing Law
These Partner Program Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
